Terms of Service

These Terms of Service (“Terms”) form a binding agreement between Voxif Technologies (Private) Limited, a company incorporated under the laws of Pakistan with its registered office in Karachi (“Voxif”, “we”, “us”), and you — the individual or legal entity (“you”, “Customer”) that creates a Voxif account, places calls through the platform, or otherwise uses the service at voxif.tech and app.voxif.tech (the “Service”). By signing up, accessing, or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

1. What Voxif is

Voxif is a multi-tenant platform for building and operating AI voice agents that place outbound and answer inbound phone calls. The platform orchestrates speech-to-text, large language models, text-to-speech, and SIP trunking. Voxif itself does not provide the AI model, the speech engines, or the carrier — you bring your own provider keys (BYOK) and your own SIP trunk (BYO carrier). Voxif charges a subscription fee for the orchestration layer; your AI and telephony spend is billed directly by your chosen providers at their rates with no markup from us.

2. Your account and provider credentials

You are responsible for maintaining the confidentiality of your Voxif login credentials and any provider API keys, SIP credentials, or webhook secrets you supply. Provider credentials are stored using AES-256-GCM envelope encryption with a per-organization Data Encryption Key. Voxif staff cannot read your plaintext keys.

Notify us immediately at security@voxif.tech if you suspect any unauthorized use of your account. You remain responsible for activity on your account until you notify us, whether or not that activity was authorized.

3. Acceptable use

Your use of the Service is also governed by the Acceptable Use Policy (“AUP”), which is incorporated by reference into these Terms. The AUP covers TCPA, GDPR, do-not-call list compliance, recording consent, AI disclosure, and prohibited categories of calls. Violating the AUP is a material breach of these Terms and grounds for immediate suspension.

4. Subscription fees, billing, and refunds

Voxif’s subscription fee is disclosed at checkout and on the public Pricing page. Subscriptions renew automatically until cancelled. You can cancel anytime from the Billing section of the dashboard; cancellation takes effect at the end of the current billing period.

New paid subscriptions are eligible for a 14-day refund from the date of first charge, no questions asked. After 14 days, fees paid for the current period are non-refundable. Provider charges from OpenAI, Deepgram, ElevenLabs, your SIP carrier, and other third parties are billed by them directly and are not refundable through Voxif.

We may change subscription fees with at least 30 days’ advance notice; price changes apply to the next billing period after the notice.

5. Your data and ours

You own the data you input or generate using the Service — call logs, transcripts, contacts, recordings, leads, knowledge-base documents, and your provider credentials. We process this data on your behalf as described in the Privacy Policy and (for enterprise customers) the Data Processing Agreement.

We retain aggregated, anonymized service metrics (call counts, latency percentiles, error rates) to operate and improve the platform. We do not use your transcripts, prompts, contact lists, or recordings to train AI models — ours or anyone else’s.

6. Service availability and limits

We target 99.5% monthly uptime for the dashboard and API, excluding planned maintenance announced at least 24 hours in advance, force-majeure events, and outages of upstream providers (OpenAI, your SIP carrier, hosting, etc.) outside our reasonable control. Voxif is provided “as is” without uptime warranties unless a separate written Service Level Agreement is signed.

Per-account hard caps apply by default: a maximum number of concurrent calls, a maximum number of calls per hour, and a configurable monthly spend cap. These limits protect you from runaway costs and protect the platform from abuse. You can raise limits by contacting support after your account has a verified payment record.

7. Intellectual property

Voxif and its licensors retain all right, title, and interest in the Service software, the brand, documentation, and APIs. You receive a non-exclusive, non-transferable, revocable license to use the Service during the term of your subscription.

You retain all rights in the data you supply. You grant Voxif a limited license to process that data solely to provide the Service to you — not to sell it, not to train external models on it, not to publish it.

If you provide feedback, suggestions, or feature requests, you grant Voxif a royalty-free, perpetual, worldwide license to use them to improve the Service. We will not identify you publicly as the source of feedback without your permission.

8. Third-party providers

The Service depends on third-party providers that you choose (e.g. OpenAI for LLM, Deepgram for STT, ElevenLabs for TTS, Telnyx or Twilio for SIP). Your use of those services is governed by their own terms and privacy policies. Voxif is not a party to and is not responsible for the actions or omissions of these providers, except to the extent we transmit your requests to them and pass back their responses.

We may add, change, or remove supported providers at our discretion, with reasonable notice when the change affects you.

9. Suspension and termination

We may suspend or terminate your access to the Service immediately and without prior notice if (a) you materially breach these Terms or the AUP; (b) your account is the subject of a credible legal complaint, subpoena, or law-enforcement request that requires it; (c) your payment method fails and is not corrected within 14 days; (d) continued operation poses a security or fraud risk to the platform.

On termination, we will preserve your data for at least 30 days during which you can request an export. After 30 days we may delete the data permanently. Subscription fees already paid for the current period are not refunded unless required by law or covered by the refund window in Section 4.

Either party may terminate the subscription for convenience at any time; the subscription will not renew at the end of the current period.

10. Disclaimers and limitation of liability

Except as expressly stated in a signed enterprise agreement, the Service is provided “as is” and “as available”. To the maximum extent permitted by applicable law, Voxif disclaims all warranties — express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.

To the maximum extent permitted by law, Voxif’s aggregate liability arising out of or related to these Terms or the Service is limited to the greater of (a) the fees you paid to Voxif in the 12 months immediately preceding the event giving rise to the claim, or (b) USD 100. Voxif is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or cost of substitute services, even if advised of the possibility.

Some jurisdictions do not allow the limitations above; in those jurisdictions our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Voxif and its directors, employees, and contractors from and against any third-party claim, loss, damage, or expense (including reasonable attorneys’ fees) arising out of: (a) your use of the Service in violation of these Terms or the AUP; (b) calls you place or receive through the Service in violation of TCPA, DNC rules, GDPR, or other applicable laws; (c) content (including transcripts, prompts, contact lists, recordings) you supply to the Service that infringes a third party’s rights.

12. Governing law and disputes

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-laws principles. The parties consent to the non-exclusive jurisdiction of the courts of Karachi for any dispute arising from these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.

For Customers based in the United States or the European Union, the parties may agree in a separate signed agreement to substitute binding arbitration in a neutral venue (e.g. Singapore International Arbitration Centre or London Court of International Arbitration) and to designate United States or European law as the applicable governing law. Until such written agreement exists, the default in this section applies.

13. Changes to these Terms

We may update these Terms from time to time. If we make changes that materially affect your rights or obligations, we will give you at least 30 days’ advance notice (by email and via the dashboard). Continued use of the Service after the change takes effect is acceptance of the updated Terms. The “Last updated” date at the top of this page reflects the most recent revision.

14. Force majeure

Neither party is liable for failure or delay in performance caused by events outside its reasonable control, including acts of God, war, terrorism, natural disasters, pandemics, government action, internet or telecommunications outages, denial-of-service attacks, or outages of upstream providers.

15. General

These Terms (together with the AUP, Privacy Policy, and any signed enterprise agreement or DPA) are the entire agreement between you and Voxif and supersede any prior agreements on the same subject matter. If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver of the right to enforce it later. You may not assign these Terms without our prior written consent; we may assign them as part of a merger, acquisition, or sale of substantially all of our assets.
