Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Voxif platform (the “Service”), operated by Efferex Technologies Ltd, a United Kingdom-registered company. By creating an account, accessing the dashboard, or using any API, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you have authority to bind that company.

1. Acceptance of terms

These Terms form a binding agreement between you (the “Customer”) and Voxif. If you do not agree, do not use the Service.

2. Description of service

Voxif provides B2B software that helps businesses automate customer conversations across voice calls (via SIP/PSTN and WebRTC) and the WhatsApp Business Platform. Each Customer connects their own WhatsApp Business Account and/or their own SIP trunk; Voxif operates the automation on the Customer’s behalf per the configuration the Customer supplies.

Voxif will deliver the Service with reasonable skill and care. We target commercially reasonable uptime and publish incidents where they meaningfully affect availability. We apply commercially reasonable safeguards (see the Security section of the Privacy Policy) to protect Customer data.

5. Fees and payment

Fees are charged per the plan you selected in the dashboard or the order form you signed. Voxif offers both Bring-Your-Own-Keys (BYOK) and fully-managed billing models. Charges recur monthly unless the order form states otherwise. Refunds are at Voxif’s discretion, subject to applicable consumer-protection law.

6. Intellectual property

You own your data, your prompts, your uploaded knowledge base, and any output produced from your data. Voxif owns the platform, the Service software, and any aggregate, anonymized service metrics. You grant Voxif a limited, non-exclusive license to process your data solely to operate the Service for you.

7. Warranties and disclaimers

Except as expressly stated, the Service is provided “AS IS” without warranties of any kind, express or implied. To the maximum extent permitted by law, Voxif disclaims all implied warranties, including fitness for a particular purpose, merchantability, and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, in no event will Voxif be liable for any indirect, incidental, consequential, or punitive damages, or for any loss of profits or revenues. Voxif’s aggregate liability arising out of or related to the Service will not exceed the fees you paid to Voxif in the twelve months preceding the event giving rise to the claim.

You will indemnify and hold Voxif harmless from any third-party claim arising out of your breach of these Terms, your violation of the WhatsApp Business Policy or Messaging Policy, or your violation of any applicable law.

9. Governing law, termination, entire agreement

These Terms are governed by the laws of England and Wales. Any dispute will be resolved in the courts of England and Wales, unless a signed order form specifies arbitration or another venue.

Either party may terminate for material breach on 30 days’ notice if the breach is not cured within that period. Voxif may suspend or terminate immediately for violations of the WhatsApp Business Policy, the WhatsApp Business Messaging Policy, or for material threats to Service integrity. You may terminate at any time by deleting your organization in the dashboard or emailing contact@voxif.tech. On termination, Voxif will delete Customer data per the Privacy Policy retention schedule.

These Terms, together with the Privacy Policy and any signed order form or DPA, form the entire agreement between you and Voxif regarding the Service.
